合作开发项目（产品）协议书

根据《中华人民共和国合同法》的有关规定及其他相关法律法规的规定，甲、乙双方本着平等协商、合作共赢原则，同意就以下条款订立本协议，共同信守履行。

第五条 甲方授予乙方独立完成项目（产品）开发的权利，不参与或者干预乙方项目（产品）开发活动。

第六条 甲方授予乙方产品冠名权，即在产品名称中冠以甲、乙双方商号或单独冠以乙方商号。

甲方提供产品技术支持，乙方负责项目（产品）开发工作，甲乙双方承担产品的开发费用各一半。

第十条 乙方承诺不得就甲方向第三人许可使用此知识产权开发同类项目（产品）提出异议。

在约定周期内，甲方未进行项目（产品）开发的，本合作协议自动终止。

在约定期限内，乙方未完成项目（产品）开发的，应提前向甲方提出项目（产品）开发延期请求并说明原因；未提出请求的，本合作协议自动终止。

在约定期限内，乙方完成项目（产品）开发的，应在约定的开发周期结束后一个月内向甲方提交项目（产品）开发报告书；取得开发成果的，一并提交相关账册，由双方依约分配开发成果。

第十二条

任何一方隐瞒、少报合作项目（产品）收益的，或独自占有合作项目（产品）全部收益的，除了赔偿另一方因此而遭受的全部损失费用外，还应支付对方违约金，违约金按照全部损失费用的三倍计算，最少不低于人民币100万元。

XII. 第十三条对本合同条款的变更，甲、乙双方协商一致后，签订本合作协议的补充协议保密协议经双方签字或盖章后，补充协议具有与本合作协议同等的法律效力。

第十四条 本协议未尽事宜，由双方协商解决。若协商不成，提交成都市仲裁委员会裁决。

第十五条 本协议一式两份，甲乙双方各持一份，具有同等法律效力。
